Welcome to CulinaEvo. These Terms of Use ("Terms") govern your use of the CulinaEvo mobile application ("App") and related services provided by CulinaEvo ("we," "us," or "our"). By downloading, accessing, or using the App, you agree to be bound by these Terms and our Privacy Policy.
IMPORTANT NOTICE: Section 12 of these Terms contains a binding arbitration clause and a class action waiver provision. These provisions affect how disputes between you and CulinaEvo may be resolved.
We reserve the right to modify, suspend, or discontinue the App or any of its features at any time, with or without notice to you. We may add or remove functionality, features, or services, and we may suspend or stop particular features altogether. If you do not agree with any changes to these Terms, you must stop using the App immediately.

You are responsible for maintaining the confidentiality of your account and password and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account or password.
The App and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by CulinaEvo, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our App, except as permitted by law or with our prior written consent.
Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the App, you agree to the collection and use of information in accordance with our Privacy Policy. Please review our Privacy Policy carefully.

You may have the opportunity to submit content to the App, including recipes, cooking logs, reviews, or other materials ("User Content"). By submitting User Content, you grant CulinaEvo a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, and distribute your User Content in connection with the App and our business.
You represent and warrant that you own all rights to your User Content or have the necessary permissions to grant this license, and that your User Content does not violate any third-party rights or applicable laws.
The App may contain links to third-party websites, products, or services. We do not control these third-party services and are not responsible for their content, policies, or practices. Your interactions with third-party services are governed by their terms and conditions and privacy policies.
THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT GUARANTEE THE ACCURACY OR RELIABILITY OF ANY INFORMATION, CONTENT, OR SERVICES PROVIDED THROUGH THE APP.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CULINAEVO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, ARISING FROM OR RELATED TO YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL CULINAEVO'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID, IF ANY, FOR ACCESSING OR USING THE APP.
You agree to indemnify, defend, and hold harmless CulinaEvo, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of the App, your violation of these Terms, or your violation of any third-party rights.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the App shall be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court, if your claims qualify. The Federal Arbitration Act and federal arbitration law apply to this agreement.
Arbitration Rules: Arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes. The arbitration shall be conducted in the county where you reside or at another mutually agreed location.
Class Action Waiver: YOU AND CULINAEVO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. FURTHER, UNLESS BOTH YOU AND CULINAEVO EXPRESSLY AGREE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S OR PARTY'S CLAIMS, AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in accordance with the arbitration provisions set forth in Section 12.
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
These Terms constitute the entire agreement between you and CulinaEvo regarding your use of the App and supersede all prior agreements, communications, and understandings.
